1. Acceptance of Terms
By accessing or using BookNest ("the Service"), operated by BookNest ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.
2. Description of Service
BookNest is a property booking management platform designed for vacation rental hosts in the Philippines. The Service allows users to:
- Manage multiple vacation rental properties
- Record and track bookings from various channels
- Monitor revenue and financial performance
- Collaborate with team members on property management
- Track expenses and generate financial summaries
BookNest is a management tool and does not facilitate the actual booking or payment processing between hosts and guests. We are not a party to any rental agreement between you and your guests.
3. User Accounts
3.1 Registration
To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Security
You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this obligation.
3.3 Team Accounts
If you create a team account, you are responsible for the actions of all team members you invite. You may assign roles and permissions to team members, and you are responsible for managing access appropriately.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation
- Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Attempt to gain unauthorized access to the Service, other user accounts, or computer systems
- Interfere with or disrupt the integrity or performance of the Service
- Use automated means (bots, scrapers, etc.) to access the Service without our prior written consent
- Record or store personally identifiable information of guests in violation of applicable data protection laws
5. User Content and Data
5.1 Ownership
You retain all rights to the data and content you submit to the Service, including property information, booking records, financial data, and guest information ("User Content"). We do not claim ownership over your User Content.
5.2 License
By submitting User Content to the Service, you grant us a limited, non-exclusive, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service.
5.3 Data Responsibility
You are solely responsible for the accuracy, legality, and appropriateness of your User Content. You represent that you have all necessary rights and consents to submit guest information and other data to the Service in compliance with applicable privacy and data protection laws, including the Philippine Data Privacy Act of 2012 (Republic Act No. 10173).
6. Free and Paid Services
6.1 Free Plan
BookNest offers a free plan that includes core property management features. We intend to maintain a free version of the Service, though we reserve the right to modify free plan features at any time with reasonable notice.
6.2 Premium Features
We may introduce premium features or paid plans in the future. Any paid features will be clearly identified, and billing terms will be presented before you are charged. You will never be automatically enrolled in a paid plan without your explicit consent.
7. Intellectual Property
The Service, including its design, features, code, content, logos, and trademarks, is owned by BookNest and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
8. Third-Party Services
The Service may reference or integrate with third-party platforms such as Airbnb, Booking.com, and Agoda. We are not affiliated with, endorsed by, or responsible for any third-party services. Your use of third-party services is governed by their respective terms and policies.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by applicable law, BookNest shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, bookings, or revenue, arising out of or in connection with your use of the Service.
Our total liability for any claim arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or PHP 5,000, whichever is greater.
11. Indemnification
You agree to indemnify and hold harmless BookNest, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our reasonable discretion, with notice where practicable. You may delete your account at any time through the Service settings.
Upon termination, your right to use the Service will immediately cease. We may retain your data for a reasonable period to comply with legal obligations, resolve disputes, or enforce our agreements.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of the Philippines.
